Ask them what they're willing to pay and decide if you're willing to accept it. There is no right answer. Beats sell online from $5 to $1500 with quality not even being a factor. It's up to the producer and what he feels his work should be worth.
As for the legalities, there are many sites that can provide contracts for exclusive and non-exclusive beat licensing. If you don't know all of the ways your beats can make money and what those contracts should cover, you need to do some reading. There's a book called "This Business of Urban Music" that goes in depth with it or you can just read the online free info available. Here's an article that spells it out in short form:
